Requirements to incorporate
In general terms, to set up an EAS you will need:
- ID document or passport of the shareholder(s).
- Company name and business purpose.
- Articles of association.
- A tax and legal domicile.
- Appointment of a legal representative (especially relevant if the shareholder is foreign).
How to set up an EAS
- Project definition: confirm the EAS is the right structure for your model.
- Drafting of the articles and gathering of documentation.
- Registration of the company with the relevant registries.
- Obtaining the RUC before the tax authority (DNIT).
- Clearance to operate: electronic invoicing, bank account opening and go-live.
EAS for foreigners
A foreign person can be a shareholder of an EAS in Paraguay without a local partner. The structural requirement is appointing a legal representative domiciled in the country.
